Notion particulièrement familière du juriste, l'incapacité intervient dans de nombreux domaines du droit privé (droit civil, droit pénal, droit des sociétés...) avec différentes finalités : protection de l'incapable contre les tiers (incapacité de jouissance et d'exercice) et plus récemment protection des tiers contre l'incapable (incapacité de défiance). Cependant, l'impression de familiarité se dissipe vite lorsque les incapacités trouvent application en droit des sociétés, car outre l'incapacité des associés, peut intervenir celle des dirigeants sociaux ou encore plus celle de la société elle-même, sans parler de la complication résultant de l'emploi d'une terminologie qui suscite des difficultés de qualification.
De plus, s'il n'y a pas réellement de difficulté lorsque le législateur recourt expressément au terme incapacité, que penser lorsqu'il en utilise d'autres, telle l'interdiction de diriger ? Il était donc important, par-delà la présentation formelle des incapacités, de s'attacher à définir la notion en elle-même, de manière à faire le départ entre les interdictions, nombreuses en droit des sociétés, et les incapacités proprement dites. Il a ainsi été démontré que sous la diversité des incapacités (ne serait-ce que par leurs finalités ou leur domaine d'application) pouvait être relevée leur profonde unité en tant que notion. Et précisément parce qu'il s'agit d'une technique au service d'une politique juridique définie par le législateur, l'unité de la notion se conjugue avec la diversité de son régime.
